1. Acceptance of these Terms

3. Accounts

You are responsible for maintaining the confidentiality of your account and for activity under your account.

4. Subscriptions, free trial, billing, cancellation, refunds

VION.APP may offer paid access through:• a Quarterly subscription (auto-renewing), and/or
• a Lifetime purchase (one-time payment).VION.APP may offer a 3-day free trial for eligible users on the Quarterly subscription.The free trial applies to the Quarterly subscription only. Lifetime is a one-time purchase and does not include a free trial.
Prices are shown before purchase at checkout in the App Store / Google Play and may vary by region and applicable taxes.Free trial (3 days) — Quarterly subscription
• If you start a free trial, you will not be charged until the trial ends. A valid payment method may be required by Apple/Google to start the trial.
• Unless you cancel at least 24 hours before the trial ends, the trial will automatically convert into a paid Quarterly subscription and you will be charged by the platform through which you subscribed (e.g., Apple App Store or Google Play).Quarterly subscription (auto-renewing)Payment will be charged to your Apple ID / Google Play account at the end of the free trial (if offered) or immediately if no free trial is offered, and on each renewal unless canceled.• Quarterly subscriptions renew automatically unless canceled in your platform account settings at least 24 hours before the end of the current billing period.

• Uninstalling the app does not cancel a subscription.
• If available, use Restore Purchases in the app to restore eligible purchases.Pricing and changes• Pricing, eligibility for trials, and available plans may vary by region and may change over time. Any changes to subscription pricing are handled according to the rules of the platform where you subscribed.Refunds• Refund requests are handled according to the refund policies of the platform where you purchased (e.g., Apple App Store / Google Play). We do not control platform refund decisions.

5. Acceptable use

You agree not to misuse the Services, interfere with normal operation, attempt unauthorized access, or use the Services in violation of applicable laws.

6. Copyright & Content Use Restrictions (Audio, Voice, Music) — Personal Use Only

All content available through the Services — including but not limited to audio tracks, music, mantras, spoken voice recordings, sound design, mixes/masters, artwork, text, branding, and app/website design (collectively, “Content”) — is owned by VION MGMT LLC-FZ or licensed to us and is protected by copyright, trademark, and other intellectual property laws.

Your license

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Content solely for your personal, non-commercial use and only through the Services.

Strictly prohibited (no copying / no extraction / no social media use)

Without our prior written permission, you may not:• Copy, reproduce, distribute, sell, rent, lease, lend, or publicly display any Content
• Download, “rip,” scrape, extract, capture, or otherwise obtain Content outside the normal functionality of the Services
• Record or capture Content from the Services (including screen recording or external recording devices) for the purpose of sharing, publishing, or redistribution
• Use any Content (in whole or in part) in social media or UGC platforms (including TikTok, Instagram, YouTube, Facebook, Snapchat, X, etc.), including as background audio, voice-over, reels/shorts audio, stories, ads, promos, or edits
• Sync the Content with any video, film, podcast, livestream, game, app, commercial, advertisement, or promotional material
• Create derivative works, remixes, samples, stems, loops, or “sound-alike” recordings based on the Content
• Remove, alter, or obscure copyright notices, trademarks, or metadata
• Circumvent, disable, or interfere with security features, DRM, access controls, or usage rules of the Services

No ownership transfer

Your subscription or purchase provides access to Content in the Services only; it does not transfer ownership or grant rights to use Content outside the Services.

7. Intellectual property

The Services and Content, and all associated intellectual property rights, remain the exclusive property of VION MGMT LLC-FZ and/or its licensors. “VION” and “VION.APP” and related marks may be trademarks or trade names of VION MGMT LLC-FZ. Except for the limited license granted above, no rights are granted to you.

8. Third-party services

The Services may link to or integrate with third-party services. We are not responsible for third-party policies or practices.

9. Disclaimers

The Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, VION will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Services.Where liability cannot be excluded, it will be limited to the amount you paid to VION for the Services in the 12 months before the event giving rise to the claim (or the minimum permitted by law).Nothing in these Terms excludes or limits any consumer rights that cannot be waived under applicable law. If you are a consumer, you may have additional legal rights in your country or region.

11. Termination

We may suspend or terminate access if you violate these Terms, for security reasons, or if required by law.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates, unless your local mandatory consumer laws require otherwise.

Apple Third-Party BeneficiaryIf you downloaded the app from Apple’s App Store, you acknowledge that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
